These Terms and Conditions (“Terms”) govern access to the website www.hr3intelligence.com and the provision of services under the HR3 Intelligence brand.

2. Scope of Services

HR3 Intelligence provides strategic analytical documentation and performance recovery frameworks for hospitality businesses within the European Union.

The core service consists of:

• Sentiment diagnostics

• Weighted rating projection modeling

• 90-day operational recovery architecture

• KPI framework and strategic sequencing

The HR3 Strategic Report constitutes professional advisory documentation only.

It does not constitute:

• Legal advice

• Financial advice

• Accounting advice

• Regulatory compliance certification

3. B2B Nature of Services

All services are provided exclusively on a Business-to-Business (B2B) basis.

By submitting a request, the client confirms:

• They act on behalf of a legally registered hospitality business.

• They possess authority to bind the entity contractually.

• Consumer protection regulations applicable to B2C services do not apply.

4. Contract Formation

A binding agreement is formed when:

• The client selects a payment option, and

• Payment is confirmed by VSG IMOVISION SRL.

The company reserves the right to refuse service prior to confirmation.

5. Payment Terms

5.1 Full Commitment Model

The client pays the full fee in advance (with applicable discount).

5.2 Split-Risk Model

The client pays 50% upfront.
The remaining 50% becomes due only if the defined target rating is achieved within the 90-day period.

For Split-Risk eligibility:

• The client must implement the HR3 operational blueprint in good faith.

• The client must maintain documented execution evidence.

• The rating must be measured on the agreed primary review platform.

Failure to implement the blueprint invalidates conditional payment terms.

6. Performance Disclaimer

HR3 Intelligence provides structured projections based on:

• Public review data

• Client-supplied operational indicators

• Mathematical rating models

No absolute guarantee of rating increase or revenue growth is provided.

Outcomes depend on:

• Implementation fidelity

• External platform algorithms

• Market conditions

• Review velocity dynamics

7. Client Responsibilities

The client agrees to:

• Provide accurate and complete data

• Implement recommended actions in good faith

• Not manipulate review systems in violation of platform policies

• Not use the HR3 framework for unlawful practices

HR3 Intelligence shall not be liable for platform penalties resulting from misuse.

8. Intellectual Property

All methodologies, rating models, projection systems, frameworks, and documentation remain the exclusive intellectual property of VSG IMOVISION SRL.

The client receives a limited, non-transferable, non-exclusive license for internal business use only.

The client may not:

• Resell the report

• Reproduce proprietary models

• Publicly disclose methodology

• Reverse engineer analytical systems

9. Limitation of Liability

To the maximum extent permitted under EU and Romanian law:

• Liability is limited to the amount paid for the service.

• No liability shall arise for indirect, incidental, or consequential damages.

• HR3 shall not be liable for loss of profit, reputation damage, or business interruption.

Nothing in these Terms excludes liability for fraud or intentional misconduct.

10. Data Protection

Personal data is processed in accordance with the Privacy Policy and Regulation (EU) 2016/679 (GDPR).

Where applicable, a separate Data Processing Agreement (DPA) may govern processing activities.

11. Confidentiality

Both parties agree to treat exchanged business information as confidential.

Confidential information shall not be disclosed without written consent unless required by law.

12. Force Majeure

Neither party shall be liable for delays or failure due to circumstances beyond reasonable control, including:

• Regulatory changes

• Cyber incidents

• Platform policy changes

• Force majeure events

13. Termination

HR3 Intelligence may suspend or terminate service in cases of:

• Non-payment

• Fraudulent conduct

• Misrepresentation of data

• Breach of Terms

Termination does not release payment obligations already due.

14. Governing Law and Jurisdiction

These Terms are governed by:

• The laws of Romania

• Applicable European Union legislation

Any disputes shall be resolved exclusively by the competent courts of Romania.

15. Severability

If any provision is found invalid under applicable law, the remaining provisions remain fully enforceable.

16. Amendments

HR3 Intelligence reserves the right to update these Terms to reflect:

• Regulatory developments

• Business model adjustments

• Platform evolution

The HR3 model operates within the boundaries of ethical review acquisition and compliance with third-party platform policies. HR3 Intelligence does not endorse artificial review generation, manipulation, or violation of platform terms.
